STATUTE OF THE PROCESS WORK STUDY CENTER FOUNDATION
GENERAL PROVISIONS
§ 1
The Process Work Study Foundation, hereinafter referred to as the Foundation, was established by:

hereinafter referred to as the founders, by the notarial deed drawn up by Notary Public Adam Suchta on 10 January 2017, operating on the basis of the Act of 6 April 1984 on foundations and on the basis of this statute.
§ 2
1. The Foundation has legal personality.
2. The duration of the Foundation is unlimited.
§ 3
The seat of the Foundation is Warsaw.
§ 4
1. The Foundation shall operate in the territory of the Republic of Poland. To properly implement social and economic goals, the Foundation may also take actions to cooperate with foreign partners as well as conduct activities provided for in the Statute outside the country.
2. The Foundation may establish field branches and other organizational units, as well as join companies, associations and other domestic and foreign organizations, including those associating Polish and foreign foundations, with the same or similar nature of activity.
§ 5
The competent Minister with respect to the purpose of the Foundation is the Minister competent for education.
§ 6
The Foundation may hire employees or outsource tasks to other entities.
§ 7
The Foundation uses a seal indicating its name, seat, and the Foundation's logotype.
The Foundation may use the name's translation into foreign languages, including English: Process Work Study Center Foundation.
§ 8
The Foundation's statutory activity may be conducted as unpaid activity or as a paid activity. Both of these forms of activity will be accounted separately to the extent enabling the determination of revenues, costs and results, considering accounting regulations.
OBJECTIVES AND RULES OF THE FOUNDATION'S OPERATION
§ 9
1. The objective of the Foundation is:
a. Developing, teaching and popularizing the ideas and methods of Process Oriented Psychology,
b. Practical application of process work methods in psychological assistance, understood as supporting and creating conditions for overall human development,
c. Practical application of process work methods in social activities, facilitation, conflict resolution, coaching,
d. Searching for new areas of application of the ideas and methods of process work within social life,
e. Caring for maintaining professional and ethical standards in the activities of facilitators, coaches, counselors, therapists working with the methods of process work and persons conducting research in the field of process-oriented psychology,
f. Supporting the mutual exchange of experiences between therapists, facilitators, counselors, coaches using process work methods as well as other methods of work,
g. Taking care of preserving and developing the philosophical, social and ethical foundations of process-oriented psychology,
h. Supporting consciousness changes at the individual and social level.
2. The above objectives are implemented in the fields of education, protection and promotion of health.
§ 10
The Foundation can achieve its objectives through:
1. Conducting a training course for psychotherapists working with process-oriented psychology methods,
2. The operation of the training program, under which one can obtain the qualifications to psychotherapeutic work with process-oriented psychology methods, based on the principles of the International Association of Process Oriented Psychology as well as the right to teach process work,
3. The organization of conferences, lectures, scientific sessions, scientific research, seminars, trainings and various forms of group work, publishing and popularizing activities in the field of process-oriented psychology,
4. Providing individual psychological help in the field of counseling and psychotherapy as well as conducting group trainings,
5. Cooperation with Polish and international organizations with the same or similar profile of activity,
6. The popularization of psychological knowledge, in particular about process-oriented psychology, through the dissemination of books, magazines, articles, audiovisual materials etc.
§ 11
To achieve its goals, the Foundation may support the activities of other legal and natural persons whose activities are convergent with the objectives of the Foundation.
§ 12
The Foundation may establish honorary badges and award them along with other awards and prizes to natural and legal persons distinguished in achieving the objectives chosen by the Foundation.
FOUNDATION BODIES
§ 13
The Foundation's bodies are:
The Founders
The Foundation Board
§ 14
1. The Foundation's body is the Foundation's Board.
2. A member of the Management Board may only be a natural person with full legal capacity, who has not been legally convicted of an offense committed with intentional fault.
§ 15
1. The Management Board consists of the President of the Management Board and other members of the Management Board.
2. The number of members of the Management Board may not be less than 2 (two) and more than 5 (five).
§ 16
The first Board of the Foundation is appointed by the Founders by a simple majority.
Further Members of the Management Board are appointed and dismissed by the Management Board.
§ 17
1. Membership in the Board of the Foundation terminates upon the death, resignation or dismissal of a Board member by the Founders acting unanimously.
2. Resignation from the function of a member of the Management Board should be submitted to any other member of the Management Board in writing, otherwise under the rigor of nullity.
3. In the event of the vacancy of a seat on the Management Board by resignation, death or dismissal from the Foundation Board, the Foundation Board shall supplement its composition by co-optation at any time.
§ 18
1. Resolutions of the Management Board are adopted at its meetings.
2. A resolution of the Management Board may be adopted without convening a meeting, provided that all members of the Management Board agree to such a resolution by signing it by mode of circulation.
§ 19
1. A meeting of the Management Board is convened by its President at least twice a year by means of all available forms of communication (by registered mail, e-mail, sms, telephone, etc.).
2. The President of the Management Board is also obliged to convene a meeting of the Management Board at the request of any member of the Management Board.
3. The meeting of the Management Board may take place in the form of a teleconference or video conference (via Skype or another similar ICT program).
4. The course of the Management Board meeting should be recorded in protocol, signed by all members of the Management Board participating in it.
§ 20
1. Resolutions of the Management Board may be adopted provided that at least 2/3 of the Management Board members are present at the meeting, and each Management Board member has been previously notified of its convening.
2. Resolutions are adopted by a simple majority of votes.
§ 21
1. The Board manages the activities of the Foundation and represents the Foundation.
2. The tasks of the Management Board include:
1) preparing and approving the annual and long-term plans of the Foundation's activities,
preparation of activity reports,
2) expressing consent to accept subsidies, inheritances and donations attributable to the Foundation,
3) managing the assets of the Foundation,
4) setting directions for the Foundation's activities,
5) managing the current activities of the Foundation,
6) determining the number of employees of the Foundation and the amount, principles and mode of their remuneration,
7) providing opinions and approving the Foundation's programs of activities,
8) appointing committees, boards and other advisory bodies that may operate at the Foundation, which are not its statutory bodies; defining the scope of tasks of the committees and appointing their members,
9) making decisions on all matters not restricted to other Foundation bodies.
10) the detailed manner and scope of activities of the Foundation Board may be specified in the Regulations of the Foundation Board adopted by the Founder.
METHOD OF REPRESENTATION
§ 22
1. Declarations of will on behalf of the Foundation, including in matters of property, may be made by one of the Board Members.
2. In property matters above PLN 200,000, a signature of all Members of the Management Board is required.
FOUNDATION'S ASSETS AND REVENUE
§ 23
The Foundation's assets are the founding fund in the amount of PLN 1,200 (one thousand two hundred) and funds, real estate and movables acquired by the Foundation in the course of its operation. The Fund was contributed by the Founders in equal parts of PLN 400 each.
§ 24
1. The Foundation is responsible for its financial obligations with all its assets
2. The foundation's assets may be located in bank accounts and deposits in bonds, shares and stocks, in real estate and movable property constituting fixed assets
3. The Foundation may create funds, including special purpose funds
§ 25
The Foundation's revenues come from:
1. subsidies, donations, inheritances and bequests, both in kind and in cash, both in PLN and in foreign currencies,
2. movable and immovable property and other property rights,
3. public collections,
4. interest on funds held,
5. paid public benefit activities.
The Foundation may hire employees as well as engage volunteers in its activities.
§ 26
1. Revenue from donations is allocated to the implementation of all the objectives of the Foundation. However, if the donor determines the purpose for which the donation is to be intended, the Foundation will allocate this donation to the indicated purpose, provided that it is within the limits set by the Foundation's objectives.
2. The provisions of the previous paragraph shall apply accordingly to subsidies, inheritances or bequests.
§ 27
1. The Management Board shall make a declaration of acceptance of the inheritance with the benefit of inventory, provided that such a possibility is provided for in the legal system applicable to the inheritance.
2. If the legal system applicable to the inheritance does not allow the possibility of accepting the inheritance with the benefit of inventory, the Management Board shall make a declaration of acceptance of the inheritance, provided that at the time of such declaration it will be known beyond reasonable doubt that the active state of the inheritance exceeds the inheritance debts, otherwise the inheritance will be rejected.
§ 28
The Foundation's accounting year is the calendar year.
FINAL PROVISIONS
§ 29
1. The Foundation will be dissolved:
1) in the event of achieving the objective for which the foundation was established,
2) in the event of exhaustion of funds and assets of the foundation.
2. The liquidation will be carried out by a liquidator appointed by the Foundation Board.
3. The liquidator has all the rights of the Management Board.
4. Any property values remaining after the liquidation will be transferred to institutions with objectives similar to those of the Foundation.
§ 30
Amendments to these statutes may be made by the Foundation Board by a unanimous resolution adopted in the presence of all its members, after prior unanimous approval by the Founders.
